Securities
We provide the full range of securities services to our clients. We undertake public and private offerings of equity and debt securities, tender offers and proxy contests, broker-dealer and investment advisor regulation matters, in addition to regular preparation of S.E.C. reporting compliance filings. There is a significant overlap between the securities department and the general corporate department, especially with regard to mergers and acquisitions.
Taxation and Estate Planning
We provide tax counseling to our business clients with regard to entity structure and transactional planning. For individuals, our tax practice is especially valuable in estate planning and in the preparation of wills and trusts. We represent our clients in federal tax controversies before the Internal Revenue Service, Tax Court, United States District Court, United States Claims Court and United States Court of Appeals. Our representation also extends to state and local tax controversies before the Florida Department of Revenue and local property appraisers and tax collectors, and to all trial and appellate levels of the State Courts.
Financial Institutions
We have extensive involvement and experience in documenting and closing commercial and residential loan transactions. We are substantially involved in the structuring of loan workouts and the prosecution of complex loan defaults, and are sensitive to the requirements of nationally structured loan programs.

Our represention includes drafting of development and website hosting agreements, litigation regarding internet and computer domain issues, and assisting technology companies with their corporate, securities, tax, real estate and litigation needs.

Environmental Practice

We have been involved in substantial litigation over environmental issues and have represented numerous parties in Superfund sites.
